Vendor Terms and Conditions ClassyAds – WhatsApp Official API Services Effective Date: [14/02/2026] These Vendor Terms and Conditions (“Agreement”) govern the relationship between ClassyAds and its vendors, resellers, partners, or service providers (“Vendor”). By partnering with ClassyAds, you agree to comply with the following terms. ________________________________________ 1. Purpose of Agreement This Agreement defines the roles, responsibilities, and obligations of vendors who: • Resell ClassyAds WhatsApp Official API services • Provide technical integration services • Offer marketing or referral services • Act as white-label partners ________________________________________ 2. Vendor Eligibility To qualify as a Vendor, you must: • Be legally registered (individual or company) • Provide accurate KYC and business documents (if required) • Agree to comply with Meta and WhatsApp policies • Maintain ethical business practices ClassyAds reserves the right to approve or reject vendor applications. ________________________________________ 3. Vendor Responsibilities The Vendor agrees to: • Promote services truthfully and accurately • Not make false claims or guarantees • Ensure end clients comply with WhatsApp & Meta policies • Not engage in spam or illegal activities • Provide proper client onboarding support • Protect client data confidentiality Vendors are fully responsible for the clients they onboard. ________________________________________ 4. Compliance with Meta & WhatsApp Policies All Vendors must strictly follow: • WhatsApp Business Policy • WhatsApp Commerce Policy • Meta Platform Terms If a Vendor or their client violates policies: • Accounts may be suspended by Meta • Vendor commission may be withheld • Partnership may be terminated ClassyAds is not responsible for policy-based suspensions. ________________________________________ 5. Payment & Commission Structure • Commission structure will be agreed separately in writing. • Payouts are processed after successful payment collection from end clients. • Delayed payments from clients may delay vendor commission. • ClassyAds reserves the right to modify commission rates with prior notice. ________________________________________ 6. White-Label Terms (If Applicable) If Vendor uses white-label services: • Vendor may brand the dashboard under their own name. • Vendor cannot claim ownership of ClassyAds source technology. • Redistribution of source code without permission is prohibited. • Technical infrastructure remains property of ClassyAds. ________________________________________ 7. Intellectual Property All software, dashboards, documentation, and technical systems remain the intellectual property of ClassyAds. Vendors may not: • Copy, reverse engineer, or redistribute software • Claim ownership of proprietary technology • Use brand assets without permission ________________________________________ 8. Confidentiality Vendor agrees to: • Protect all confidential business information • Not disclose pricing, system architecture, or internal processes • Maintain client data privacy This obligation continues even after termination of the agreement. ________________________________________ 9. Termination ClassyAds may terminate vendor access if: • Vendor violates these Terms • Vendor damages brand reputation • Vendor engages in unethical practices • Vendor fails to comply with policies Termination may be immediate without prior notice in serious violations. ________________________________________ 10. Limitation of Liability ClassyAds shall not be liable for: • Vendor’s client disputes • Loss of business due to Meta/WhatsApp actions • Indirect or consequential damages ________________________________________ 11. Governing Law This Agreement shall be governed by the laws of India. Any disputes shall be subject to the jurisdiction of Indian courts. ________________________________________ 12.
